This Tech-Verse 2022 Terms and Conditions (this "Terms") stipulates the terms and conditions for participation in Tech-Verse 2022 (URL) (the "Event") held by LY Corporation (collectively the "Organizer") between a participant of the Event ("Participant") and the Organizer. The Participant shall comply with the matters stipulated herein.

  1. Article 1.  Event Overview

    (i) Schedule: November 17th and November 18th, 2022 (Online)  (ii) Participation Fee: Free (provided that however, expenses for setting up the online environment for participation in the Event, communication fees, etc. shall be borne by the Participant).

  2. Article 2. Eligibility for Participation

    Individuals who have agreed to this Terms and any other terms and conditions stipulated by the Organizer (the “Terms, etc.”) may participate in the Event (regardless of age, nationality, place of residence, etc.). Provided that however, if a minor wishes to participate in this Event, he or she must obtain prior consent of a legal representative including but not limited to his/her parents.

  3. Article 3. Cancellation of qualification by the Organizer for Participation

    The Organizer shall be entitled to refuse Participants’ participation in the Event, suspend participation, or take any other action that the Organizer deems appropriate, if the Participant falls under any of the following:  (i) If the Participant behaves or is likely to behave so that the Organizer, the performer of the Event (hereinafter referred to as the "Performer") or other Participants are annoyed or the smooth operation of the Event is interfered;  (ii) If behaviors of the Participant impair or are likely to impair the reputation or credit of the Organizer, Performer, other Participants, or the Event; or  (iii) If the Participant violates any terms of this Agreement, etc. or any other matter set forth separately by the Organizer.

  4. Article 4. The Participant's compliance

    The Participant shall comply with the terms and conditions of LINE LIVE which is used to stream the contents of the Event (https://terms2.line.me/line_live_terms/sp?lang=ja) and instructions by the Organizer when participating in the Event.

  5. Article 5. Participation Process

    The Event is streamed online via LINE LIVE. The Participant may participate in the Event by accessing the Event’s website (URL). When participating in the Event, the Participant shall confirm following items:   (i) The Participant shall, at one’s own responsibility, prepare the necessary equipment (computer, microphone, etc.), software, communication line, and other viewing environment for viewing the Event; and  (ii) The Participant shall take appropriate security measures to prevent computer virus infection, unauthorized access, and information leaks, etc., in accordance with one’s own viewing environment.  The Organizer shall not be liable for any damage or communication fees or other costs incurred due to the Participant’s viewing environment.

  6. Article 6. Confidential Information

    6.1 The Participant shall comply with the instructions of the Organizer regarding the handling of information (including, but not limited to, information concerning the materials provided by the Organizer or the Performer, inventions, devices, designs, works, ideas and know-how related to the deliverables, etc.) that the Organizer or the Performer has indicated to be confidential at the Event, whether before or after the termination of the Event, irrespective of the method of disclosure.  6.2 The Participant is advised not to provide confidential information that they wish to keep secret at the Event.  6.3 The Participant shall not infringe on the copyright or other intellectual property rights, honor, privacy or other rights of the Organizer, Performer, other Participants, or otherwise engage in any illegal or unjustifiable acts.

  7. Article 7. INTELLECTUAL PROPERTY, ETC.

    7.1 Copyrights and other intellectual property rights with respect to any text, images, images, sound, programs, etc. provided through the Event (the "Content") shall belong to the Organizer, the speakers of the Event (the ”Speakers”) or any third party who own such intellectual property rights.  7.2 The Participant shall not use the Content for commercial purposes or any purpose other than the purpose for advertising the Event. For the avoidance of doubt, the Participant shall not alter or modify the Content and shall not use Content in the manner by which the reputation or credit of the Event, the Organizer, the Speakers and other Participant may be disqualified or in the manner deemed inappropriate by the Organizer. In the event that any dispute arises due to the Participant’s violation of this Article, the Participant shall, at its own expense and responsibility, resolve such dispute and shall not cause any damage to the Organizer, the Speakers or any third party.

  8. Article 8. Indemnity

    8.1 The Organizer and the Speakers shall not be liable for any damages incurred by the Participant arising out of the Event.  8.2 The Organizer shall not be responsible for any dispute between the Participant and other Participant and third parties including the Speakers, and the Participant shall settle such dispute at its own responsibility and expense.

  9. Article 9. Responsibilities of the Participant

    9.1 The Participant shall participate in the Event on the Participant's own responsibility and shall be responsible for any and all actions taken and the results thereof at the Event.  9.2 The Participant shall immediately compensate for any damage (including attorney's fees) incurred by the Organizer, etc. directly or indirectly, as a result of participation in the Event, at the request of the Organizer.

  10. Article 10. Personal Information

    10.1 The Organizer respects the privacy of Participants. 10.2 The Organizer shall not collect any personal information from the Participant at the Event. The Organizer uses measurement tools (e.g. Google Analytics) to obtain information on the usage of Participants on the Event's website. The usage log, behavior/attribute information will be shared with the Organizer, the Speakers and their companies. Such information does not include any personally identifiable information.

  11. Article 11. Discontinuation, etc. of the Event

    The Organizer shall be entitled to suspend, cancel or change the operation of the Event without prior notice to the Participant due to the unavoidable reason in relation to the operation of the Event. In such case, the Organizer shall not be responsible for any and all expenses including, but not limited to, preparation costs for the Event by the Participant.

  12. Article 12. Changes to this Agreement, etc.

    12.1 The Organizer may change the Terms, etc. without prior notice by notifying or announcing such changes on the Event's website or by any other means deemed appropriate by the Organizer. 12.2 In the event that the Organizer revises the Terms, etc. pursuant to the preceding clause, the Participant shall comply with the revised Terms, etc. to continue participating in the Event (including continuing participation if the Participant has already participated). 12.3 The Organizer may change the contents of the Event without prior notice.

  13. Article13. Communication method

    When the Organizer needs to communication the Participant in relation the operation of the Event, such communication shall be by posting on the appropriate location on the website operated by the Organizer or by other methods of communication separately specified by the Organizer.

  14. Article 14. Exclusion of Antisocial Forces

    14.1 The Participant shall represent that he/she does not currently fall under any of the following categories: Boryokudan members, quasi-Boryokudan members, Boryokudan-related enterprises, organized crime group members, general assembly agents, social movement logos, political activity logos, special intellectual violent groups, or persons closely related to or equivalent to these (hereinafter referred to as "Anti-Social Forces") and shall commit himself/herself to not fall under any of them in the future. 14.2 Participants shall commit themselves, directly or indirectly, not to: (i) Violent demands (ii) Unreasonable demands beyond legal responsibility (iii) Acts of intimidating behavior (including, but not limited to, communicating that one's or its related parties are anti-social forces) or using violence in connection with transactions (iv) An act of spreading rumors, damaging the credibility of the organizer by using fraudulent means or by using force, or obstructing the business of the organizer (v) Other acts similar to the above. 14.3 In the event the Participant is found to be in violation of any of the Representations or Commitments set forth in the preceding two paragraphs, the Organizer may cancel the Participant's participation without any notice. The Organizer shall not be liable to the Participant for any damage caused to the Participant by such measures.

  15. Article 15. Severability

    Even in the event any part of this Agreement is held to be invalid under laws and regulations, the provisions other than those that have become invalid shall remain in full force and effect. The invalid portion shall also be modified to the minimum extent necessary to be valid and shall be construed so as to maximize the intended legal and economic effects.

  16. Article 16. Governing Law and Jurisdiction

    The Terms, etc. shall be construed in accordance with the laws of Japan. Any dispute between the Participant and the Organizer arising out of or in connection with the participation in the Event shall be settled at the Tokyo District Court as the exclusive jurisdictional court of first instance.
